Evolution Board Recommends Rejecting Candle Lake Bid — What It Means for UK Players

The board of Evolution AB (publ) has told shareholders not to accept Candle Lake Limited’s mandatory cash offer of SEK 695 a share. The statement was published on 24 August 2026 at 09:00 CEST.

Why the board is saying no

The trigger was a 24 July 2026 announcement: Candle Lake had reached approximately 30.02% of the shares and votes in Evolution, crossing the mandatory-bid threshold under Chapter 3, Section 1 of the Swedish Act on Public Takeovers on the Stock Market.

The board’s published price comparisons, all taken from the 24 August statement, are:

  • Equal to the SEK 695 close on 24 July 2026
  • A premium of about 1.6% versus the 20-day volume-weighted average of SEK 683.8 through 24 July 2026
  • A discount of about 5.7% versus the SEK 737.2 close on 12 August 2026
  • A discount of about 3.3% versus the 20-day VWAP of SEK 718.8 through 12 August 2026

The board’s conclusion is that the offer does not reflect Evolution’s fair market value, given that discount against the share price at the time of the statement. It also notes Candle Lake has said the offer is not motivated by any intention to buy every outstanding share — it is being made because Swedish takeover rules required it.

Completion is solely conditional on regulatory and governmental clearances. Candle Lake currently assesses that the customary clearances have already been received, though it says that view could change depending on how many acceptances come in.

Who Candle Lake is — and what the trade press added

iGaming Business and SBC News describe Candle Lake as Kenneth Dart’s investment vehicle. Those outlets have put the implied value of the offer at around SEK 131.7 billion; SBC also gave a sterling figure of about £10.21 billion.

SBC has also reported that if ownership ever went above 90%, Candle Lake had said it would look at taking the company private and delisting it from Nasdaq Stockholm. That is press reporting about a stated intention, not a live plan in the board’s recommendation. Candle Lake’s own message, as the board repeats it, is that it is not trying to swallow the whole company.

Evolution itself, from the same official statement, is a B2B supplier founded in 2006, with about 870 operator customers, about 22,900 employees, a Swedish parent and a Nasdaq Stockholm listing under the ticker EVO.

What to do as a player
